These Terms and Conditions (“Terms”) govern your use of the website https://digitalcode360.com/ and services provided by DigitalCode360 Web Solution Pvt Ltd. (“DigitalCode360!”, “we”, “our”, or “us”). By engaging our services or using our website, you agree to these Terms.
1. Services
DigitalCode360! provides web design, development, SEO, digital marketing, and related services. All services are delivered based on individual proposals, statements of work (SOW), or written agreements. Any work outside the agreed scope will be subject to additional charges.
2. Payments and Fees
All fees are quoted in writing and must be agreed upon before project initiation. We reserve the right to require an upfront payment prior to commencing work. Payments are non-refundable unless explicitly stated otherwise. Delayed or missed payments may result in project suspension, delayed delivery, or termination of services. DigitalCode360! reserves the right to withhold final deliverables until full payment is received.
3. Revisions and Scope Control
Revisions are limited to those defined in the agreed scope. Any additional revisions, changes, or new requirements beyond the original scope will be treated as a new request and billed accordingly. We are not obligated to perform work outside the agreed scope without formal approval.
4. Client Responsibilities
The client agrees to provide all required content, feedback, approvals, and materials in a timely manner. Delays in communication or approvals may impact timelines. DigitalCode360! will not be held responsible for project delays caused by the client.
5. Intellectual Property
All intellectual property rights for final deliverables are transferred to the client only upon full payment. Until then, all work remains the property of DigitalCode360!. We reserve the right to showcase completed work in our portfolio and marketing materials. Any third-party assets used may be subject to separate licensing terms.
6. Third-Party Services
Our services may involve third-party tools, platforms, or integrations. DigitalCode360! is not responsible for performance issues, outages, policy changes, or failures related to third-party services.
7. Limitation of Liability
To the maximum extent permitted by law, DigitalCode360! shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, business interruption, or data loss. All services are provided on an “as is” and “as available” basis without warranties of any kind.
8. Termination
Either party may terminate the engagement with written notice. In such cases, the client agrees to pay for all work completed up to the termination date. All payments made are non-refundable.
9. Indemnification
The client agrees to indemnify and hold harmless DigitalCode360! from any claims, damages, or liabilities arising from the use of materials, content, or instructions provided by the client.
10. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of courts located in Noida, Uttar Pradesh.
11. Changes to Terms
DigitalCode360! reserves the right to update or modify these Terms at any time without prior notice. Continued use of our services constitutes acceptance of the updated Terms.
